Acceptance.
By signing a Statement of Work with us, paying an invoice, accessing the Ragenaizer platform, or using any product we license, you agree to be bound by these Terms. If you don't agree, don't engage us — and don't use the platform.
Services we provide.
We operate two brands. HyperScripts delivers custom software engagements — web apps, mobile apps, finance integrations with whatever the client runs, dashboards. Ragenaizer is our flagship Business OS product, licensed as SaaS or whitelabeled. Specific deliverables are defined in your signed Statement of Work (SOW) or Subscription Agreement.
Payment & refunds.
Custom engagements are billed per the milestone schedule in your SOW. Invoices are payable within 15 days unless agreed otherwise in writing. Ragenaizer subscriptions auto-renew on a monthly or annual cycle. Refunds for SaaS are pro-rated for unused full months only and must be requested in writing within 30 days of the relevant charge.
Intellectual property.
For custom work, you own all bespoke source code, designs, and assets produced specifically for your engagement on full payment of fees. We retain ownership of pre-existing frameworks, libraries, and internal tooling we use to deliver. For Ragenaizer and other licensed platforms, all underlying IP remains with WiseTrack Technologies; you receive a non-exclusive licence under the terms of your subscription.
Confidentiality.
Both parties agree to treat as confidential any non-public information shared in the course of an engagement. We will sign a mutual NDA on request; in its absence, this clause applies by default. Confidentiality survives termination by 3 years.
Warranty.
We warrant that services will be performed in a professional manner consistent with industry standards. For custom builds, we cover defect-fix at no charge for 90 days after final delivery, provided the defect is reproducible and reported in writing. Beyond 90 days, support is governed by a separate Support Agreement.
Limitation of liability.
To the maximum extent permitted by law, WiseTrack's total cumulative liability for any claim arising under or in connection with an engagement shall not exceed the fees paid by you to WiseTrack in the 12 months preceding the claim. Neither party shall be liable for indirect, consequential, incidental, or punitive damages.
Termination.
Either party may terminate an engagement for material breach on 30 days' written notice if the breach is not cured. On termination, you remain liable for work performed up to the termination date. Ragenaizer subscriptions may be cancelled at any time and will not renew for the next cycle.
Governing law.
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Gautam Buddh Nagar, Uttar Pradesh.
